Minimum Advertised Price (MAP) Policy  

OVERVIEW

Natural Genius is focused on maintaining high margins for our Wholesale Partners, resellers of Natural Genius products (“Resellers”), and ongoing quality customer service. Natural Genius has a policy of minimum advertised price standards for its products to preserve its reputation, provide customers with high-value products (“Products”) and strong after-sales support, and further enhance the Natural Genius brand image and competitiveness in the marketplace.

GENERAL TERMS

This Minimum Advertised Price Policy (“MAP”) will apply to all Resellers, including retail stores and internet retailers (collectively, “Resellers”), who resell any of Natural Genius Products to end-users. Natural Genius greatly values the efforts of all Resellers and Affiliates who market and sell our products and support our customers. This MAP Policy is for the benefit of all Resellers and Affiliates and will be uniformly enforced, with few very specific exceptions.

ONLINE PRACTICES

Reseller will not promote, market, advertise, offer to sell any NaturalGenius Products on or through any online marketplace or auction services such as: eBay, Amazon Marketplace, Facebook Marketplace, or like websites, except as may be expressly consented to by Natural Genius in writing and in advance. It is understood that Natural Genius may withdraw such consent at any time.

Reseller shall be allowed to advertise on their own websites and social media channels, however, Reseller must adhere to Natural Genius MAP Pricing when doing so.

MAP POLICY

Natural Genius MAP Policy Pricing Guidelines for all Natural Genius Products can be found on the current MAP Price List (“MAP”) for Products which is made available to all parties approved as Wholesale Partners. NaturalGenius is solely responsible for establishing the minimum advertised price(“MAP”) for each Product and communicating the MAP to all Resellers. The MAP Price List will identify the effective date, the Products, and Price for those products.

All advertised prices must be at or above MAP Pricing for all products. Resellers are however not required to list the MAP price in their advertising. If a price is listed in an advertisement, it must be at or above MAP. Other statements such as “call for price” or "check it out in our store" are acceptable and permitted.

For advertising purposes, Resellers are free to set the actual resale price of any Product as long as it is at or above the MAP price given on the most recent publication of the MAP Price List. Natural Genius MAP Policy for all Products applies to all advertising, including but not limited to: print ads, inserts, yers, posters, coupons, direct mail, faxes, broadcast emails, internet placements with third parties, and internet placements onResellers own website and social media channels.

While Resellers remain free to advertise on their website and social media channels and sell Natural Genius Products at any price they deem appropriate, it is a violation of this MAP for a Reseller to advertise a product at a price lower than the MAP.

Such advertisements include, but are not limited to:

• Offering coupons, discounts, rebates, or other inducements that, when applied, result in a price lower than the MAP, including through the use of a storewide sale, promotional code, or other similar provision that can be applied toProducts.
• Bundling Products with other products or services (whether made by or provided by Natural Genius or another entity) in a manner that implies below-MAP pricing for a Natural Genius product in the bundled Product.
• Selling to a third party and permitting them to alter the advertised MAP price for any Products.

NOTE: This MAP Policy applies only to publicly advertised prices defined above, and does not apply to the price at which Natural Genius Products are actually sold or offered for sale to an individual consumer within the Resellers actual physical retail locations.

From time to time, Natural Genius may permit Resellers to advertise MAP Products lower than the MAP Price. In such events, Natural Genius reserves the right to modify or suspend the MAP Price with respect to the affected Products for a specified period of time.
